Reinstating Your Wyoming LLC

This guide walks you through the process of bringing it back to life with the Secretary of State. However, it’s important to note that reinstatement is only possible if your LLC hasn’t been inactive for more than two years. After that timeframe, forming a new company is your only option.

Gather Information

Business Filing ID Number: Locate the unique ID assigned when you formed your LLC. You can search for it on the Secretary of State’s website if you’ve forgotten it.

Registered Agent: A registered agent service is required to accept legal documents on your LLC’s behalf. If you haven’t changed agents, you can skip this step.

Back Annual Reports: Prepare and pay any outstanding fees for Annual Reports you missed during your inactive period.
Complete the Forms

LLC Application for Certificate of Reinstatement: Access and complete this form on the Secretary of State’s website using your Business Filing ID Number.

Change of Registered Agent (Optional): If changing your registered agent, file the “Change by Entity” form along with a “Consent to Appointment by Registered Agent” form signed by your new agent.

Submit Your Package

Mail all documents together: In a single package, send the reinstatement application, any change of agent forms (if applicable), back annual reports, and a check or money order for all associated fees.

Fees: There’s a $100 reinstatement fee and filing fees for back annual reports. Additionally, a $350 penalty applies if your LLC was dissolved for failing to maintain a registered agent (cannot be filed online).

You cannot change your principal business address or LLC members/managers during reinstatement. These require separate filings.
